貿(mào)易中介合同范本　　甲方(代理方)：　　乙方(委托方)：　　甲、乙雙方本著平等互利、共同發(fā)展原則，經(jīng)友好協(xié)商一致，乙方愿意委托甲方提供進(jìn)出口貨物報(bào)關(guān)委托書(shū)，并自愿達(dá)成如下協(xié)議：　　一、甲方接受乙方委托，提供進(jìn)出口貿(mào)易代理服務(wù)，代理乙方從事進(jìn)出口貿(mào)易及相關(guān)業(yè)務(wù)?！　《⒓追截?zé)任：提供報(bào)關(guān)委托書(shū)　　三、乙方責(zé)任：　　1.乙方負(fù)責(zé)與國(guó)外供貨商聯(lián)絡(luò)，確定貨物的規(guī)格、質(zhì)量、數(shù)量和價(jià)格條件;　　2.承擔(dān)進(jìn)出口過(guò)程中發(fā)生的一切費(fèi)用(銀行費(fèi)用、換單費(fèi)、保險(xiǎn)費(fèi)、報(bào)關(guān)報(bào)檢費(fèi)、檢驗(yàn)檢疫費(fèi)、運(yùn)輸費(fèi)、倉(cāng)儲(chǔ)費(fèi)等)，將上述款項(xiàng)直接支付給相關(guān)收款單位或交給第三方代付;　　3.乙方應(yīng)在接到關(guān)稅和海關(guān)代征增值稅稅票后按時(shí)向代收銀行繳納稅款;　　4.如代理進(jìn)出口商品屬免稅、許可證商品，乙方負(fù)責(zé)辦理相關(guān)的手續(xù)或證明，由此引起的一切責(zé)任和損失由乙方負(fù)擔(dān);　　5.守法經(jīng)營(yíng)，不偽報(bào)、不滿報(bào)，單單相符、單貨相符、如實(shí)申報(bào)、提供貨物的真實(shí)情況，對(duì)于偽報(bào)商品名稱、夾帶走私物品、高值低報(bào)、少報(bào)通關(guān)數(shù)量等違反相關(guān)法律法規(guī)的行為，乙方承擔(dān)一切責(zé)任和后果，并賠償給甲方造成的損失?！　∷?、在貿(mào)易合同執(zhí)行中，如因國(guó)外客戶或乙方的原因造成合同的變更、解除、終止或違反合同致使變更或終止本協(xié)議，甲方不承擔(dān)責(zé)任，因甲方代理行為的過(guò)錯(cuò)造成的損失除外?！　∥?、甲方在執(zhí)行本協(xié)議中，對(duì)于乙方或第三方的經(jīng)濟(jì)、刑事等糾紛，甲方不負(fù)連帶責(zé)任。由此給甲方造成的損失，乙方承擔(dān)全部責(zé)任?！　×⑷缫驁?zhí)行本協(xié)議發(fā)生糾紛，適用《對(duì)外貿(mào)易代理制暫行規(guī)定》，《對(duì)外貿(mào)易法》作為本協(xié)議的準(zhǔn)據(jù)法?！　∑?、若甲乙雙方發(fā)生爭(zhēng)執(zhí)糾紛，應(yīng)協(xié)商解決，協(xié)商不成，由甲方所在地法院管轄。　　八、本協(xié)議正本一式兩份，甲乙雙方各執(zhí)一份，副本若干份送甲方據(jù)以審批、核算、對(duì)外付匯等?！　【?、本協(xié)議自簽訂之日起生效，有效期為一年，對(duì)雙方具有同等約束力?！　〖追剑?公章) 付款　　payment　　訂單確認(rèn)之后，乙方須按照有關(guān)確認(rèn)書(shū)所規(guī)定的時(shí)間開(kāi)立以甲方為受益人的保兌的、不可撤銷的即期信用證。乙方開(kāi)出信用證后，應(yīng)立即通知甲方，以便甲方準(zhǔn)備交貨?！　fter confirmation of the order, party b shall arrange to that party a can get prepared for delivery.　　6. 傭金　　commission　　在本協(xié)議期滿時(shí)，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運(yùn)貨物所收到的發(fā)票累計(jì)總金額付給乙方*%的傭金?！　pon the expiration of the agreement and effected.　　7. 市場(chǎng)情況報(bào)告　　reports on market conditions　　乙方每3個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場(chǎng)情況和用戶意見(jiàn)的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其他供應(yīng)商的類似商品樣品及其價(jià)格、銷售情況和廣告資料?！　arty b shall forward once every three months to party a detailed reports on current market conditions and of consumers' comments. meanwhile, party b shall,from time to time, send to party a samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.　　8. 宣傳廣告費(fèi)用　　advertising & publicity expenses　　在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說(shuō)明，由甲方審閱同意。　　party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patterns and/or drawings and description for prior approval.　　9. 協(xié)議有效期　　validity of agreement　　本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**。若一方希望延長(zhǎng)本協(xié)議，則須在本協(xié)議期滿前1個(gè)月書(shū)面通知另一方，經(jīng)雙方協(xié)商決定?！　∪魠f(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。　　this agreement, after its being signed by the parties concerned, shall remain in force for... days from ... to ... if either party wishes to extend this agreement, he shall notice, in writing, the other party one month prior to its expiration. the matter shall be decided by the agreement and by consent of the parties hereto. should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this agreement.　　10. 仲裁　　arbitration　　在履行協(xié)議過(guò)程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過(guò)友好協(xié)商達(dá)不成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)的決定是終局的，對(duì)雙方均具有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)?！　ll disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party ,unless otherwise awarded.　　11. 其他條款　　other terms & conditions　　(1) 甲方不得向經(jīng)銷地區(qū)其他買(mǎi)主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買(mǎi)主希望從甲方直接訂購(gòu)，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書(shū)副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方*%的傭金?！　arty a shall not supply the contracted commodity to any other buyer(s) in the above mentioned territory. direct enquiries, if any, will be referred to party b. however, should any other buyers wish to deal with party a directly, party a may do so. but party a shall send to party b a copy of sales confirmation and give party b...% commission on the basis of the net invoice value of the transaction(s)concluded.　　(2) 若乙方在*月內(nèi)未能向甲方提供至少**訂貨，甲方不承擔(dān)本協(xié)議的義務(wù)?！　hould party b fail to pass on his orders to party a in a period of ... months for a minimum of ..., party a shall not bind himself to this agreement.　　(3) 對(duì)雙方政府間的貿(mào)易，甲方有權(quán)按其政府的授權(quán)進(jìn)行有關(guān)的直接貿(mào)易，而不受本協(xié)議約束。乙方不得干涉此種直接貿(mào)易，也無(wú)權(quán)向甲方提出任何補(bǔ)償或傭金要求?！　or any business
